3.1. General Eligibility:

You must be at least eighteen (18) years old to create an account and fully use the Platform independently.

3.2. Minors (Under 18):

If you are a Minor and wish to use the Platform as a Student, you MUST obtain the explicit, informed consent of your parent or legal guardian. Your parent or legal guardian must register your account and agree to these Terms on your behalf. They will be solely responsible for your activities on the Platform, including any purchases made and for ensuring your compliance with these Terms. We reserve the right to request proof of parental/guardian consent at any time and to suspend or terminate accounts for which such consent cannot be verified. Tutors are strictly prohibited from engaging in one-on-one communication or services with Minors, without explicit knowledge and consent that a parent or legal guardian is aware of and approves such interactions.

4.1. Platform Provider:

We provide an online marketplace and technological infrastructure that enables Tutors to create, market and deliver their educational Content and Services to Students.

4.2. No Direct Provision of Services:

Lumilearn does not directly provide educational courses, live classes, or one-on-one tutoring. We are not a teaching institution. We act solely as an intermediary and facilitator connecting Tutors and Students.

4.3. Content and Service Responsibility:

Tutors are solely responsible for the content they upload, the quality of their instruction and the delivery of their services. Although our academic services team performs a customary review of prerecorded courses uploaded to the platform, we do not endorse, guarantee, or take responsibility for the accuracy, completeness, quality, or legality of any Content or services provided by Tutors. Students interact with Tutors and consume Content at their own risk. Students are encouraged to check our course reviews and other available content before making a purchase decision for prerecorded or live classes on the platform.

5.1. Account Creation:

To access most features of the Platform, you must register and create an account. You agree to provide accurate, current and complete information during the registration process and to update such information, keeping it accurate, current and complete.

5.2. Account Security:

You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

6.1. Content Ownership & License:

As a Tutor, you retain all ownership rights to the Content you create and upload to the Platform. However, by uploading Content, you grant Lumilearn a non-exclusive, worldwide, royalty-free, transferable, sub-licensable license to host, use, reproduce, modify, adapt, publish, translate, distribute, publicly perform and display your Content on the Platform and through any media channels, solely for the purpose of operating, promoting and improving the Platform and your courses.

6.2. Content Standards:

You agree that your Content will:

• Be accurate, truthful and free from misleading information.
• Not infringe upon the intellectual property rights (copyright, trademark, patent, trade secret, or other proprietary rights) of any third party.
• Not contain any defamatory, obscene, indecent, offensive, hateful, or otherwise unlawful material.
• Comply with all applicable laws and regulations in Nigeria (or your local country), including but not limited to educational standards and data protection laws.
• Be free from viruses, malware, or any other harmful code.

6.3. Tutor Responsibilities:

• You are responsible for the quality, accuracy and legality of the Content and services you provide.
• You agree to respond promptly and professionally to Student inquiries and feedback.
• You are responsible for obtaining any necessary licenses, permissions, or consents for any third-party materials included in your Content.
• You agree not to engage in any form of harassment, abuse, or discrimination towards Students, other Tutors or our staff.
• You agree to comply with our Acceptable Use Policy (Section 10) at all times.

7.1. Access to Content:

As a Student, you agree to use the Content and services provided by Tutors solely for your personal, non-commercial educational purposes.

7.2. Prohibited Actions:

You agree not to:

• Resell, reproduce, distribute, or publicly display any Content from the Platform without explicit authorisation.
• Share your account credentials with others.
• Attempt to gain unauthorised access to any part of the Platform or other Users' accounts.
• Use the Platform for any unlawful purpose or in any way that violates these Terms.
• Engage in any form of harassment, abuse, or discrimination towards Tutors, other Students, or our staff.

8.1. Platform Ownership:

All intellectual property rights in the Platform itself, including but not limited to its design, software, code, logos, trademarks and graphics (excluding User-generated Content), are owned by Lumilearn or its licensors.

8.2. No Unauthorised Use:

You may not use any of our trademarks, logos, or proprietary information without our prior written consent.

Tutor Payments & Service Fees:

As a Tutor, you earn revenue from the courses and lessons you sell. Lumilearn will deduct a service fee of 12.5% per course from your earnings. The remaining 87.5% will be paid to you on a daily basis, for lessons completed during the previous pay period.

Refund Policy:

Your satisfaction is our top priority. We believe in our e-learning content and want you to have a rewarding experience.

• For Students: You are entitled to a refund, but every refund instance will be reviewed on a case-by-case basis. Your refund request must be made within 24 hours of your purchase.
• For Tutors: If a student is issued a refund, you will not be paid for that specific transaction. If payment has already been made, the refunded amount may be deducted from your future earnings.

Cancellation Policy:

Reunification Policy (For Tutors):

You agree not to circumvent the Lumilearn platform by soliciting or engaging in direct payments with any student you met through our platform. All lessons and payments for students you meet here must be processed through Lumilearn. Violation of this policy may result in the immediate suspension or termination of your account and the forfeiture of any outstanding earnings.

11.1. "As Is" Basis:

The Platform and all Content and services provided through it are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

11.2. No Warranty for Content/Services:

Lumilearn does not warrant that:

• The Content provided by Tutors will meet your specific requirements or expectations.
• The services offered by Tutors will be uninterrupted, timely, secure, or error-free.
• The results that may be obtained from the use of the Platform will be accurate or reliable.
• The quality of any products, services, information, or other material purchased or obtained by you through the Platform will meet your expectations.

11.3. Limitation of Liability:

To the fullest extent permitted by applicable law, in no event shall Lumilearn, its affiliates, directors, employees, agents, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Platform or any Content or services therein.

13.1. By You:

You may terminate your account at any time by utilizing the delete account feature found on your dashboard.

13.2. By Us:

We may suspend or terminate your access to all or any part of the Platform at any time, with or without cause, with or without notice, effective immediately, for any reason, including but not limited to a breach of these Terms.

13.3. Effect of Termination:

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

14.1. Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

14.2. Dispute Resolution:

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform shall be resolved amicably through good faith negotiations. If an amicable resolution cannot be reached within thirty (30) days, the dispute shall be submitted to arbitration in Lagos, Nigeria, in accordance with the provisions of the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004. The decision of the arbitrator(s) shall be final and binding on both parties.

16.1. Entire Agreement:

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lumilearn regarding your use of the Platform.

16.2. Severability:

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16.3. Waiver:

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
